Payments made to WINNERS MS INT’L AGENCY are considered payment for agreed services, operational expenses, agency fees, logistics, documentation, third-party charges, port-related expenses, or other services requested by the client.

Refunds will only be considered where the relevant service has not been fully rendered or where an overpayment or duplicate payment has occurred.

Terms and Conditions

These Terms and Conditions govern the provision of services by WINNERS MS INT’L AGENCY to its clients, principals, vessel owners, charterers, managers, operators, contractors, and other customers.

1. Acceptance of Terms

By engaging WINNERS MS INT’L AGENCY, requesting services, accepting a quotation, issuing instructions, or making payment, the client agrees to these Terms and Conditions.

2. Scope of Services

WINNERS MS INT’L AGENCY may provide services including, but not limited to:

– Maritime and shipping agency services.
– Vessel clearance and port formalities.
– Husbandry services.
– Crew change assistance.
– Logistics and transportation.
– Ship chandling and vessel supplies.
– Documentation and operational support.
– Port, customs, immigration, and maritime authority coordination.
– Launch boat and offshore support arrangements.
– Slop, sludge, waste, and related marine services.
– Other services agreed with the client.

Services may be performed directly or through approved third-party service providers.

3. Quotations and Charges

All quotations are based on information available at the time they are issued.

Additional charges may apply where there are:

– Changes in vessel schedule or operational requirements.
– Additional services requested by the client.
– Government or port fee increases.
– Currency fluctuations.
– Delays beyond the control of WINNERS MS INT’L AGENCY.
– Additional transportation, accommodation, boat, security, customs, or documentation expenses.

Third-party and statutory charges may be passed to the client at actual or agreed cost.

4. Payment Terms

Unless otherwise agreed in writing, payments must be made according to the invoice or proforma disbursement account issued by WINNERS MS INT’L AGENCY.

The client is responsible for ensuring that:

– Payment is made in the correct currency and amount.
– All bank charges are borne by the payer unless otherwise agreed.
– Payment references are correctly stated.
– Proof of payment is provided when requested.

WINNERS MS INT’L AGENCY may suspend or delay services where required funds have not been received.

5. Advance Funding

Where services require advance payment to port authorities, government bodies, suppliers, transporters, launch operators, hotels, contractors, or other third parties, sufficient funds must be received before such services are arranged or confirmed.

WINNERS MS INT’L AGENCY shall not be responsible for delays resulting from late or insufficient funding.

6. Client Responsibilities

The client must provide accurate and complete information necessary for the performance of services, including vessel particulars, certificates, crew information, cargo details, arrival and departure information, operational instructions, and other relevant documents.

The client is responsible for any loss, delay, penalty, or additional expense resulting from inaccurate, incomplete, or late information.

 

7. Third-Party Services: WINNERS MS INT’L AGENCY may appoint suppliers, contractors, transport providers, launch operators, hotels, inspection companies, or other third parties on behalf of the client.

Where such third parties are independently responsible for providing their services, WINNERS MS INT’L AGENCY shall not be liable for their acts or omissions except where liability arises directly from the agency’s own negligence or misconduct.

8. Cancellation and Changes

Where the client cancels or changes an instruction after arrangements have commenced, the client remains responsible for all expenses, cancellation charges, administrative costs, and third-party liabilities already incurred.

Any refundable balance will be handled in accordance with the applicable Refund Policy.

9. Delays and Force Majeure

WINNERS MS INT’L AGENCY shall not be liable for delays, losses, or failure to perform caused by circumstances beyond its reasonable control, including:

– Adverse weather or sea conditions.
– Port congestion or closure.
– Government or authority restrictions.
– Customs or immigration delays.
– Strikes or industrial action.
– War, civil unrest, piracy, or security incidents.
– Equipment failure.
– Communication or banking interruptions.
– Epidemics, pandemics, or public emergencies.
– Acts of God or other force majeure events.

Liability: WINNERS MS INT’L AGENCY will exercise reasonable care and professional diligence in performing its services.

The company shall not be liable for indirect, consequential, special, or loss-of-profit damages arising from operational delays, third-party failures, vessel schedule changes, regulatory decisions, or circumstances outside its reasonable control.

11. Compliance

The client agrees that all transactions and instructions must comply with applicable laws, port regulations, customs requirements, maritime rules, sanctions, anti-money-laundering requirements, and other regulatory obligations.

WINNERS MS INT’L AGENCY reserves the right to refuse or suspend any transaction or service that may violate applicable law or compliance requirements.

12. Documents and Information

Documents supplied by the client may be shared with relevant authorities, banks, terminals, service providers, contractors, and other parties where necessary to perform the requested services or satisfy regulatory requirements.

The client is responsible for ensuring that documents and information provided are genuine, accurate, and authorized for use.

13. Refunds

Refunds, where applicable, will be handled in accordance with the company’s Refund Policy and will generally exclude services already rendered, third-party costs, statutory charges, administrative expenses, bank charges, and other amounts already committed or incurred.

14. Confidentiality

WINNERS MS INT’L AGENCY will take reasonable measures to protect confidential commercial and operational information received from clients, except where disclosure is necessary for service delivery, regulatory compliance, legal requirements, or protection of legitimate business interests.

15. Disputes

Any dispute should first be addressed through good-faith negotiation between WINNERS MS INT’L AGENCY and the client.

Where the dispute cannot be resolved amicably, it shall be handled in accordance with the applicable laws and jurisdiction agreed between the parties or stated in the relevant service agreement or invoice.

16. Amendments

WINNERS MS INT’L AGENCY reserves the right to amend these Terms and Conditions from time to time. Updated terms will apply to future transactions and services from the effective date of the revision.
